These Terms and Conditions (“Terms”) constitute a binding agreement between Channel Guru (“Channel Guru,” “us,” “our,” or “we”) and each member of Channel Guru. If you are not a Channel Guru member, these Terms apply to you as a visitor or unregistered user (“you” or “your”).
By becoming a Channel Guru member (“Member”), using your Membership, accessing any Channel Guru Materials, or using any part of our Services, you accept and agree to abide by these Terms, including our Privacy Policy and all other policies incorporated by reference. These policies may be updated from time to time.
Nothing in these Terms limits any rights you may have under the Australian Consumer Law (ACL). If the Services we provide fail to meet a consumer guarantee, you are entitled to a remedy as required by law.
1. Channel Guru’s Services
1.1 Overview
Channel Guru is an online platform providing resources, training, and collaboration for technology professionals. These Terms govern your Membership, access, participation, and use of our platform, events, and materials (collectively, the “Services”).
1.2 Additional Terms
Certain Membership benefits, features, or limitations may be subject to Additional Terms that will be provided to you before access or purchase. In the event of a conflict between these Terms and any Additional Terms, the Additional Terms will govern.
1.3 Using the Services on Behalf of a Business
If you are using the Services on behalf of an organization, company, or legal entity, you represent that you have authority to act on its behalf and agree that both you and the entity are bound by these Terms.
1.4 Privacy Policy
All personal data collected or used by Channel Guru is handled in accordance with our Privacy Policy, which is incorporated into these Terms.
1.5 Membership Criteria
- Channel Guru reserves the right to accept or deny membership applications at its sole discretion.
- Membership is not available to individuals under 18 years old.
- You are responsible for ensuring that your Membership and use of our Services comply with all applicable laws.
2. Authorization & Restrictions on Use
2.1 Authorization to Use Services
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services while your Membership is active.
2.2 Intellectual Property Rights
All Channel Guru content, trademarks, software, and intellectual property remain the sole property of Channel Guru. You may not copy, distribute, modify, or reverse‑engineer any of our materials unless written permission is given.
2.3 Library Content – Restricted Use
All content, resources, assessments, and materials made available within the Channel Guru Resource Library (“Library Content”) are the exclusive intellectual property of Channel Guru Pty Ltd. These assets are provided strictly for internal use by registered partners and members only. Any redistribution, resale, or commercial use of Library Content without express prior written consent from Channel Guru Pty Ltd is expressly prohibited.
2.4 Restrictions on Use
- Use the Services for commercial purposes outside of what is permitted.
- Copy, modify, or create derivative works from Channel Guru materials.
- Share login credentials or access with unauthorized individuals.
- Use the platform for illegal, harmful, or offensive activities.
- Upload malware, viruses, or harmful code to the Services.
2.5 Unauthorized Use & Account Responsibility
You are responsible for any unauthorized use of your account. If you suspect unauthorized access, you must notify us immediately.
3. Membership & Fees
3.1 Membership Access
Only active Members may access certain features of the Services.
3.2 Membership Information
- You agree that all information provided during registration is accurate and up to date.
- Your login credentials are personal and must not be shared.
3.3 Membership Duration & Cancellation
Membership is monthly or annually and renews automatically unless cancelled. To cancel your Membership, email [email protected] at least 10 days before renewal. No refunds will be provided for cancelled Memberships unless required by law.
3.3A Billing Issues
If your payment fails due to a billing issue, please contact us within 7 days for review.
3.4 Membership Fees & Billing
- Membership Fees are billed monthly to the payment method on file via a third‑party payment provider (e.g., Stripe or PayPal).
- We may adjust Membership Fees at any time with at least 30 days’ prior notice.
- Failure to pay may result in suspension or termination of Membership.
- You are responsible for maintaining accurate and current billing information.
4. Member Conduct & Community Guidelines
4.1 Code of Conduct
- Treat other Members with respect.
- Follow all ethical and legal guidelines.
- Avoid harassment, hate speech, and inappropriate behaviour.
4.2 Content Contributions
Any content you submit (posts, discussions, or shared materials) grants Channel Guru a non‑exclusive, royalty‑free, perpetual license to use, modify, and distribute that content. You retain ownership of your original content.
4.3 Testimonials & Promotional Use
By participating in community discussions, events, or programs, you grant Channel Guru permission to use your name, likeness, and testimonials for promotional purposes unless you opt out in writing.
4.4 Violation of Community Standards
We reserve the right to remove content, restrict access, or terminate accounts that violate these guidelines.
5. Disclaimers & Limitation of Liability
5.1 General Disclaimer
- We provide our Services “as‑is” without warranties of any kind.
- We do not guarantee that our content, training, or resources will meet your expectations.
- We aim for continuous availability of our Services but cannot guarantee uninterrupted or error‑free operation. Temporary downtime may occur for maintenance, updates, or events beyond our control.
- We are not responsible for third‑party content or links.
5.2 Limitation of Liability
In no event will Channel Guru be liable for any indirect, incidental, special, or consequential damages arising from your use of our Services. If liability is found, it is limited to the amount you paid for Membership in the last 12 months.
5.3 Third-Party Platforms & External Links
We may provide access to third‑party tools or platforms, but we do not endorse or assume responsibility for them. If you connect Channel Guru with third‑party tools or platforms, you do so at your own risk. Channel Guru is not responsible for any data loss, breaches, or issues arising from those integrations.
5.4 Indemnity
You agree to indemnify and hold Channel Guru, its officers, employees, contractors, and affiliates harmless from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your misuse of the Services, breach of these Terms, or violation of any law or third‑party rights.
6. Arbitration & Dispute Resolution
6.1 Arbitration Agreement
Any dispute between you and Channel Guru will be resolved through binding arbitration under the laws of New South Wales, Australia.
6.2 No Class Actions
You agree that all disputes must be resolved individually and not as part of a class action.
6.3 Court Relief for Certain Matters
Nothing in this clause prevents either party from seeking relief in a court of competent jurisdiction in New South Wales for non‑arbitrable matters, including unpaid fees or urgent injunctive relief.
7. Modifications & Termination
7.1 Changes to Terms
We reserve the right to update or modify these Terms at any time. Continued use of the Services after changes are made constitutes acceptance of the new Terms. Members will be notified of material updates by email or via the platform.
7.2 Termination Rights
We may suspend or terminate your Membership or access to the Services for any reason, including:
- Violation of these Terms
- Non‑payment of Membership Fees
- Disruptive behaviour
8. General Advice Disclaimer
All information, content, discussions, materials, and advice provided through Channel Guru, including but not limited to written articles, GuruCasts, member discussions, templates, and coaching sessions (collectively referred to as “Content”) are of a general nature only and do not take into account your specific objectives, financial situation, legal situation, or business needs.
- The Content is provided for informational and educational purposes only.
- The Content is not intended as, and does not constitute, professional, legal, financial, tax, accounting, cybersecurity, business, or other regulated advice.
- Any reliance on the Content is at your own risk.
- Before acting on any information provided through Channel Guru, you should consider its appropriateness having regard to your own objectives, situation, and needs.
- You are solely responsible for obtaining independent professional advice, including legal, financial, cybersecurity, or business advice, as applicable, before making any decisions or taking any actions. Channel Guru uses reputable third‑party service providers to store and process data, which may be located in Australia or overseas. We take reasonable steps to protect your personal and business data from misuse, interference, and loss in accordance with the Privacy Act 1988 (Cth). 10. Force Majeure
Channel Guru will not be liable for any delay or failure to perform obligations under these Terms due to circumstances beyond our reasonable control, including natural disasters, internet or utility outages, acts of government, or other events of force majeure.
